Agility Robotics' SEC filing shows small sales, large losses and a going-concern warning

Agility Robotics' SEC filing shows $1.8 million in 2025 sales, a $140 million operating loss and a going-concern warning that excludes its merger.

In its merger filing with the SEC (Form S-4, 4 September 2026, amended 30 September), Agility Robotics reported 2025 net sales of $1.8 million and a loss from operations of $140 million. For the first half of 2026 it reported net sales of $0.2 million and a net loss of $361.9 million. It ties most of a rise in costs to about $121.4 million of stock-based pay. Cash was $14.7 million at 30 June. The filing says that, without considering the proposed merger, there is substantial doubt about the company's ability to continue as a going concern, and that Agility had raised $100 million more by the date of the amendment. We file this because it is the company's first public look at its sales, losses and cash. How we read it: sales are small next to the losses, and the filing ties funding to the merger. What would change this: the merger closing with its expected cash. Why it matters to you: a leading humanoid-robot maker reports little revenue so far.

What this doesn't prove

2025 figures are audited. First-half 2026 figures are unaudited. The going-concern language excludes the merger, which is not complete. The compensation expense is an operating expense item in the filing, not our reading of why the net loss arose. Customer-site and hours figures are Agility's own statements.
