Meta prices new stock it says supports AI infrastructure, and NVIDIA says it will put in $3 billion

Meta priced $25.0 billion of new common stock and $12.5 billion of preferred, plans $60 billion more, and NVIDIA says it will put in $3 billion.

Meta says its new stock offerings support its continued spending on AI infrastructure. It launched them on 26 October, and overnight it priced $25.0 billion of common stock and about $12.5 billion of preferred stock. It also plans up to $60 billion more from early 2027, with no agreement signed yet.

In sports terms, picture a team bringing in new owners to fund a bigger stadium, with equipment makers showing interest. NVIDIA said it will put $3 billion into the offering, and that Meta intends to expand its use of NVIDIA Vera Rubin and Vera CPUs. At launch, Meta said NVIDIA, AMD and Broadcom together indicated interest in up to $5.0 billion of the common stock. That is a combined ceiling, and Meta's release does not say it comes on top of NVIDIA's $3 billion.

The jargon, in plain words. A forward sale deal means Meta agrees the price now and receives the cash later, by 19 November 2027. Preferred stock is a separate class of shares with its own terms. An at the market program means offering shares a little at a time on the exchange.

Only the first two parts are priced. The $60 billion has no agreement yet.

What would change this read: Meta signing or dropping the $60 billion program, or AMD and Broadcom following their launch interest with a commitment.

What this doesn't prove

The $60 billion program is planned only, with no agreement and terms not set. Common stock cash arrives on forward settlement by 19 November 2027. At launch, Meta said the $5.0 billion was a combined ceiling of non binding indications from NVIDIA, AMD and Broadcom. Share-price moves excluded.
