NVIDIA agrees to acquire Hugging Face for $12.93 billion, with closing expected in 2027
NVIDIA said on 3 September it will acquire Hugging Face for $12.93 billion. Its 8-K shows $11.9B to stockholders and up to $1.0B of retention equity.
On 3 September 2026 NVIDIA CEO Jensen Huang said on the company blog that NVIDIA had agreed to acquire Hugging Face for $12,930,300,000. NVIDIA's filing says the definitive agreement was signed on 2 September, with about $11.9 billion for Hugging Face stockholders and up to about $1.0 billion of retention equity for employees joining NVIDIA, consistent with that figure. NVIDIA expects to close in the first half of 2027, subject to regulatory approvals, and says it will keep Hugging Face open and keep supporting other chip vendors. We file this because NVIDIA says the deal will “strengthen its infrastructure and expand access to AI for developers and institutions worldwide”, in a definitive, priced agreement. How we read it: NVIDIA has put a large stated price on the open-model platform. What would change this: regulatory trouble or a failure to keep it open. Why it matters to you: open models run through the platform, so its ownership and openness matter to developers.
What this doesn't prove
Statements by NVIDIA, dated by its blog post (3 September) and its Form 8-K (event date 2 September). The blog post and the filing describe one deal, not two prices. The filing also lists a risk factor on government restrictions on open-source models. The deal awaits regulatory approval, and the openness commitments are NVIDIA's own statements of intent.
