Marvell signs a custom-chip deal with Google and issues a warrant that vests as Google purchases custom products
Marvell will build custom AI chips for Google and gave Google a warrant for up to about 59 million shares that vests as Google purchases custom products.
On 19 August 2026 Marvell Technology, a US chip maker, disclosed that on 29 July it agreed with Google to develop custom chips for Google's TPU AI platform. Marvell gave Google a warrant for up to 58,970,907 Marvell shares, about 59 million. Of these, 1,360,867 vest over the first year. The rest vest in 240 equal tranches, one for each $500 million of Custom Products revenue from discretionary purchases by or on behalf of Google, through fiscal 2033. The filing calls the purchases discretionary, so Google is not committed (Marvell SEC filing, 19 August 2026, and warrant agreement).
Why we file it. A major AI chip designer is tying new Google business to equity.
How we read it. The warrant shows how Marvell could receive larger Google orders, but Google can choose how much to purchase.
Why it matters to you: AI chip deals are being tied together with equity.
What this doesn't prove
Company filing: Google's purchases are discretionary, so Google is not committed to any amount, and the warrant vests only as purchases happen.
