Vertiv agrees to acquire a data-center microgrid company for about $1.45 billion
Vertiv said on 2 September it will acquire power-controls firm UtilityInnovation Group for about $1.45 billion in cash, plus up to $1.15 billion in earnouts.
On 2 September 2026 Vertiv announced an agreement to acquire UtilityInnovation Group, a provider of microgrid solutions, power controls and behind-the-meter power architecture for data centers, for approximately $1.45 billion in cash at closing, plus up to $1.15 billion more in cash if EBITDA targets are met over 12 and 24 months. The deal needs regulatory approvals and is expected to close in the fourth quarter of 2026. We file this because it is a company-confirmed deal with hard figures. How we read it: Vertiv is paying a large sum to add onsite-power controls for data centers that cannot wait for grid power. What would change this: regulators blocking the deal or it failing to close. Why it matters to you: it shows getting power to AI data centers has become a problem big enough for suppliers to acquire their way into.
What this doesn't prove
Announced agreement, not a completed deal. It is subject to regulatory approvals and customary conditions. The earnout is paid only if targets are met. Terms are as stated by Vertiv.
